About this non-disclosure agreement (nda) template
Before you share a business plan, customer list, source code or pricing with another company, an NDA sets the rules: what counts as confidential, how it can be used, who can see it and for how long. This template is mutual, so it protects both sides equally, which makes it quicker to get signed. It has eight clauses and takes about five minutes to fill in.
How to fill in this NDA
- 1
Click "Edit online", or download the Word file.
- 2
Enter both parties' legal names and addresses, and the date.
- 3
Describe the purpose in one line, for example "to discuss a distribution partnership".
- 4
Set the disclosure period and how long confidentiality lasts (2–5 years is common), and the governing law.
- 5
Save as PDF, sign it (both parties) and keep a copy each.
Tips for using an NDA
Sign before you share
An NDA covers information shared after it is signed. Don't send the deck until both signatures are on it.
Be precise about the purpose
The other side may only use your information for the stated purpose, so a clear purpose gives you clearer protection.
Mark documents "Confidential"
Labelling files and emails removes any doubt about what the NDA covers.
One-way if only you share
If only one party will share information, you can edit it into a one-way NDA by naming one Discloser and one Recipient.
